上海2013年11月25日電 /美通社/ -- 巨人網(wǎng)絡(luò)集團有限公司（紐交所交易代碼：GA）（以下稱“巨人”或“公司”），是中國領(lǐng)先的網(wǎng)絡(luò)游戲開發(fā)商和運營商之一。巨人今天宣布其董事會（以下稱“董事會”）收到來自公司主席史玉柱先生（及其某些關(guān)聯(lián)公司），以及霸菱亞洲投資（Baring Private Equity Asia）的一個附屬公司所組成的財團（以下一并稱為“財團”）于2013年11月25日發(fā)起的不具約束力的初步私有化要約。根據(jù)該要約書，財團計劃以每股普通股或每股美國存托股（“存托股”，公司每一股存托股代表一股普通股）11.75美元現(xiàn)金的價格收購公司所有發(fā)行在外的普通股（包括公司存托股所代表的普通股）。

截至2013年11月25日，該財團成員總計實益擁有公司總股本的約47.2%。

該要約書中稱，該要約僅為初步意向，交易的最終條款還將取決于談判及簽署后的交易文件。

董事會（不包括史玉柱先生）正在考量并評估該財團的要約。公司預(yù)計董事會將采取多種程序和方式來充分合理地評估要約同時保障與財團無關(guān)聯(lián)的公司股東的利益，包括由與財團沒有關(guān)聯(lián)且非公司管理層的獨立董事成立特別委員會來評估要約，并在適當?shù)那闆r下就此進行談判，同時也考慮公司的其他戰(zhàn)略選擇。公司提請其股東及其他考慮交易公司股票的實體或個人注意：董事會剛收到該項要約，目前尚未就公司對要約的回應(yīng)作出任何決定。目前無法保證該財團或其他實體是否會給出最終要約，或就該擬議中的交易簽署任何最終協(xié)議，或該擬議中的交易或任何其他交易會被批準完成。
